Seller Terms of Service

1.Introduction and acceptance

These terms of service (the "Seller Terms") govern the relationship between you, an independent seller (hereinafter "the Seller") and MD AI SERVICES LLC, a limited liability company registered in the State of New Mexico (United States), EIN 61-2329644, publisher of the Konekta marketplace (hereinafter "Konekta" or "the Platform").

By submitting your application on candidature.konekta-pro.com and checking the acceptance box for these Seller Terms, you acknowledge that you have read, understood and accepted these terms in their entirety. If you do not agree with any of these clauses, do not use the Platform.

2.Definitions

• Konekta / Platform: the Konekta mobile and web application accessible from konekta-pro.com and the mobile app stores, operated by MD AI SERVICES LLC.
• Seller: a natural or legal person registered on Konekta to offer products or services for sale.
• Buyer: an end user who purchases products or services offered by a Seller through the Platform.
• Commission: the percentage withheld by Konekta on each successful transaction. The rate varies by region and seller account type: 2% for Senegal / Côte d'Ivoire shops, 3% for P2P listings without a shop, 5% for international sellers (details in section 4).
• Wave: the Wave Mobile Money mobile payment service used for payments in West Africa.
• Stripe: the payment service provider Stripe Inc., used for international payments through Stripe Express Connect accounts.

3.Registration and account verification

To sell on Konekta, you must complete the registration form available at candidature.konekta-pro.com and provide accurate, complete and up-to-date information. You warrant that:

• You are of legal age in your country of residence and have the legal capacity to enter into a contract
• You operate lawfully in the declared country of sale
• The banking or payment information (Wave number, IBAN, etc.) you provide belongs to you
• You have not previously been excluded from the Platform

Konekta reserves the right to verify this information and to refuse or suspend your registration at its discretion, in particular in the event of suspected fraud, identity theft or illegal activity.

4.Financial terms

4.1 Senegal / Côte d'Ivoire model (Wave)

For Sellers operating in Senegal or Côte d'Ivoire, Konekta applies a monthly subscription model combined with a reduced commission per sale:

• Shop subscription: 2,000 FCFA / month (rental of the shop space on the platform)
• First month free (30-day free trial upon shop creation)
• Commission: 2% per completed sale (the Seller receives 98% of the amount paid by the Buyer)
• Automatic payouts to the configured Wave number after each transaction

Subscription non-payment: if the monthly subscription is not paid on time, the shop is automatically set to "expired" status and no longer appears in the marketplace. The Seller may reactivate it at any time by paying the outstanding subscription.

4.2 International model (Stripe Express)

For Sellers operating in France, Italy, Spain, the United States, the United Kingdom or South Africa, Konekta applies a no-subscription model with a single commission:

• No monthly subscription
• Commission: 5% per completed sale
• Stripe processing fees (≈ 2.9% + 0.30 USD) deducted from the amount paid out to the Seller, in addition to the Konekta commission (see example table below)
• Automatic daily payouts to the bank account linked to your Stripe Express account

4.3 Individual sellers — P2P listings (no shop)

Users in Senegal / Côte d'Ivoire may publish individual listings for sale on the marketplace without creating a shop ("P2P listings"):

• No monthly subscription
• Commission: 3% per completed sale (the Seller receives 97% of the amount paid by the Buyer)
• Inventory cap: 100,000 FCFA — the cumulative value of a seller's active sale listings may not exceed 100,000 FCFA. Beyond this threshold, creating a shop with a subscription (section 4.1) becomes mandatory in order to continue publishing and selling.
• Peer-to-peer rental listings of goods are not subject to this cap.

4.4 Real estate agencies

Real estate professionals may create a virtual real estate agency on the Platform to list properties for rent or for sale. The agency pricing model includes no commission on rents or real estate transactions, which take place directly between the agency and its clients:

• 🇸🇳🇨🇮 Senegal / Côte d'Ivoire: base subscription of 2,000 FCFA / month + 500 FCFA per active property per month, charged via Wave
• 🌍 International: equivalent base subscription (4 €/$/£ per month) + 1 €/$/£ per active property per month, charged via Stripe
• First month free (30-day free trial upon agency creation)
• Annual billing available with a 10% discount on the total
• A property removed from the catalog stops being billed as of the next billing cycle

Non-payment: if a charge fails, the agency's properties are hidden from the marketplace until the situation is resolved. The agency may settle the outstanding amount at any time from its dashboard.

4.5 Payment terms

Payouts are made automatically through the payment rail selected at registration:

• Wave (Senegal, Côte d'Ivoire): near-instant payout of the net amount to your Wave number after each successful transaction.
• Stripe (France, Italy, Spain, United States, United Kingdom, South Africa): automatic daily payout to the bank account linked to your Stripe Express account, subject to banking delays (T+1 to T+2 business days depending on the country).

4.6 Changes to pricing terms

Konekta may change the commission rate or the subscription amount subject to thirty (30) days' prior written notice by email to the address provided at registration. Continued use of the Platform after this period constitutes acceptance of the new pricing terms.

5.Seller responsibilities

5.1 Compliance of products and services

You are solely responsible for the compliance of the products or services you offer on the Platform. This includes, without limitation:

• Compliance with the laws in force in your country of operation and in the Buyer's country
• The required authorizations, licenses or qualifications (in particular for pharmacies, bookstores, restaurants and regulated services)
• The quality, safety, freshness and conformity of the products
• The accuracy of the published descriptions, prices, photos and specifications
• Respect for third-party intellectual property rights

5.2 Prohibited products and services

The following are strictly prohibited on Konekta:

• Any product or service that is illegal in the Buyer's or the Seller's country
• Weapons, ammunition, explosives
• Narcotics, psychotropic substances (except medicines dispensed by a pharmacy with a valid prescription)
• Adult content, sexual services
• Live animals or parts of protected animals
• Virtual currencies, NFTs, financial instruments
• Counterfeit products or unauthorized copies
• Any other product explicitly excluded by Stripe, Wave or local regulations

5.3 Delivery and after-sales service

You undertake to deliver or perform the service within the timeframes announced to the Buyer, to answer their questions within a reasonable time, and to provide after-sales service (refunds, exchanges) in accordance with your commercial policy published on the Platform.

5.4 Taxes

You are responsible for declaring and paying all taxes, duties and contributions due on the income generated through the Platform, in accordance with the tax regulations of your country. Konekta does not withhold any tax and does not act as a tax agent in any capacity.

6.Refunds, disputes and chargebacks

In the event of a dispute with a Buyer, you are the first point of contact for resolving the disagreement (refund, exchange, goodwill gesture). If the Buyer disputes the transaction directly with their card issuer or their Wave operator:

• The disputed amount may be deducted from your future payouts by Konekta
• You are required to provide Konekta with any relevant evidence (invoice, proof of delivery, correspondence with the Buyer) to defend the case
• If the chargeback is upheld, the amount remains your responsibility

Konekta recommends keeping proof of delivery and a record of correspondence with each Buyer for at least 12 months.

7.Personal data

Konekta processes your personal data (name, email, phone, Wave number/IBAN, shop information) for the performance of these Seller Terms and in accordance with its Privacy Policy.

You have the right to access, rectify, port and delete your data. To exercise these rights, contact us at contact@mdaiservices.com.

Stripe and Wave also process your data in accordance with their own privacy policies available on their official websites.

8.Suspension, termination and removal

8.1 By the Seller

You may at any time stop offering products or services on the Platform and request the closure of your account by simple email to contact@mdaiservices.com. Pending transactions will be completed and the corresponding payouts will be made to you under the usual terms.

8.2 By Konekta

Konekta reserves the right to temporarily suspend or permanently terminate your seller account, without notice or compensation, in the event of:

• Breach of these Seller Terms
• Sale of prohibited products (see section 5.2)
• Abnormally high rate of disputes or chargebacks
• Repeated and substantiated complaints from Buyers
• Suspected fraud, money laundering or illegal activity
• Serious breaches of legal obligations (in particular tax obligations)
• A decision by the payment providers (Stripe, Wave) suspending your underlying account

9.Limitation of liability

Konekta acts as a technical intermediary between Sellers and Buyers. Konekta is not a party to the sales contracts concluded between Sellers and Buyers, and cannot be held liable for:

• The quality or conformity of the products/services sold
• Direct disputes between Sellers and Buyers
• Any tax liabilities of the Seller
• Temporary unavailability of the Platform (maintenance, technical incidents)
• Acts or omissions of third-party providers (Stripe, Wave, Google, Apple, telecom operators)

To the fullest extent permitted by applicable law, Konekta's aggregate liability towards the Seller, on any grounds whatsoever, is capped at the amount of the commissions received by Konekta on the Seller's sales during the last twelve (12) months.

10.Governing law and jurisdiction

These Seller Terms are governed by the laws of the State of New Mexico, United States, the place of registration of MD AI SERVICES LLC.

Any dispute relating to the interpretation or performance of these Seller Terms shall, failing amicable resolution, be submitted to the competent courts of the State of New Mexico, without prejudice to any mandatory public-policy provisions applicable in the country of residence of the consumer Seller where relevant.

11.Changes to the Seller Terms

Konekta may amend these Seller Terms at any time. Material changes will be notified by email at least thirty (30) days before they take effect. Continued use of the Platform after this period constitutes acceptance of the new terms.
